Tenet's general counsel to retire at end of year - Modern Healthcare

Tenet Healthcare Corp. announced Monday its longtime general counsel is retiring at the end of 2021.
Audrey Andrews has served as the Dallas-based hospital chain's general counsel since 2013. Tenet's chief administrative officer, Tom Arnst, will take on general counsel duties in addition to his existing roles once Andrews steps down.
Andrews, 54, has been with Tenet since 1998. Before becoming general counsel, she served as Tenet's chief compliance officer overseeing the company's ethics and compliance program. She also previously served as vice president and assistant general counsel for Tenet's regulatory affairs. In that role, she oversaw Medicare reimbursement, quality of care and other regulatory issues. Her first role at the company was as hospital operations counsel.
As general counsel, Andrews oversees legal and government relations for Tenet and its ambulatory surgery center and revenue-cycle management subsidiaries.
In a statement, Tenet CEO Ron Rittenmeyer said that while he's sorry to see Andrews retire, he supports the decision and appreciates her commitment to Tenet.
"Audrey has been a dedicated leader, a collaborative partner and a trusted advisor during her more than two decades of service at the company," Rittenmeyer said. "Through periods of significant change for Tenet and the healthcare industry, she has provided sound judgment and thoughtful, expert counsel, always serving with respect and acting as a mentor to rising talent throughout the organization."
Andrews' total compensation was $4.6 million in 2020, according to the company's proxy statement, the biggest contributors of which were stock awards and cash incentive pay. She made $3.6 million in total compensation in 2019. Andrews' base salary has been $550,000 since at least 2018. She also has accrued $6.6 million in pension benefits.
As of March 15, Andrews owned more than 65,500 shares of Tenet's common stock, 86% of which was exercisable within 60 days. Tenet's stock is currently valued at $52.55 per share, which makes her stake worth $3.4 million.
Andrews earned her law degree and bachelor's degree from the University of Texas at Austin.
In addition to his role as chief administrative officer and executive vice president, Arnst leads the legal department of Tenet's subsidiary, Conifer Health Solutions. He's also the company's chief risk officer.
In his statement, Rittenmeyer said Arnst's experience will ensure a smooth transition.
